Could your business run without you for a month?
Buy And Build Advisors wants to know!

Here’s a number that should scare more owners than it does: how many days could you be unreachable before the business started to wobble?

If it’s a small number, a buyer already knows, and they’ve priced it. Not because they doubt the earnings, but because they’re buying what runs after you leave. If too much of the company lives in your head, there’s less to actually buy.

A manufacturer we watched expected a five-times multiple. Then diligence found the founder held every key customer and priced every job by instinct. The buyer didn’t walk, they moved a big chunk of the price into a three-year earn out that only paid if he stayed and handed it all over. Good business. The dependence cost him millions in structure.

None of this gets fixed in the data room. It’s a year or two of deliberately handing things off, and the upside is a calmer business in the meantime.

What is the difference between an asset sale and a stock sale? by Buy and Build Advisors

What is the difference between an asset sale and a stock sale?

An asset sale transfers specific assets out of a business. A stock sale transfers ownership of the business itself.

In an asset sale, the buyer picks what they want. Equipment, inventory, customer contracts, intellectual property, the brand, the goodwill. The seller keeps the legal entity and whatever the buyer did not agree to take. In a stock sale, the buyer purchases the owner’s equity, and the entity keeps running with its assets, contracts, and obligations intact. People also call this asset purchase vs stock purchase, which is the same decision seen from the buyer’s side of the table. One detail that trips owners up: if you run an LLC instead of a corporation, the stock-sale equivalent is a sale of membership interests. The label changes. The reason it matters does not.

Many transactions run into trouble even when the buyer and seller agree on the strategic logic of the deal. The issue is often not price alone. It is the gap between what each side assumes about the business, the process, leadership continuity, and what should happen after close. A strong M&A strategy accounts for those issues early, before they start to slow execution or weaken confidence.
